Terms of Service

Effective August 14, 2026

These Terms of Service ("Terms") govern your use of the Coact mobile app (the "App") and the Coact website at getcoact.com (the "Site") — together, the "Service". The Service is operated by the founder of Coact as a sole proprietorship pending incorporation ("Coact," "we," "us," or "our"). By creating an account, joining the waitlist, or otherwise using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.

Eligibility & Your Account

You must be at least 13 years old (or older where your local law requires — up to 16 in parts of the European Economic Area) to use the Service. If you are under 18, you confirm a parent or guardian has reviewed and agreed to these Terms.

You agree to provide accurate information, keep your password secure, and not share your account. You are responsible for activity on your account. Notify us immediately at help@getcoact.com if you suspect unauthorized use. We may reclaim usernames that are inactive, misleading, or infringe someone's rights.

The Service

Coact lets you commit to habit goals, check in daily (optionally with a photo), compete with friends or matched opponents, share posts, message other users, and earn trophies, and progress through badges and a battle pass.

You control your experience through in-app settings — including a private-account mode, who can message you, who can see your posts, who can add you as a friend, activity status and read receipts, push and email notification preferences, and blocking or muting other users.

The battle pass is built to reset on a schedule — battle pass progress is periodically reset. Trophies are a lifetime total and do not reset. We may add, change, or remove features at any time, and may suspend or discontinue the Service (with reasonable notice where practicable).

Health & Safety — Read This

COACT IS A MOTIVATION AND HABIT-TRACKING TOOL. IT IS NOT A MEDICAL, MENTAL-HEALTH, OR ADDICTION-TREATMENT SERVICE, AND NOTHING IN THE SERVICE IS MEDICAL ADVICE.

You choose your challenges voluntarily. To the maximum extent permitted by law, you assume all risks of injury, illness, or other outcomes arising from activities you choose to perform, and Coact is not liable for them.

Your Content

You own the content you create — photos, captions, bio, messages ("Content"). You grant Coact a worldwide, non-exclusive, royalty-free license (sublicensable to our service providers) to host, store, reproduce, adapt (for example, resizing), publish, and display your Content solely to operate, provide, develop, and promote the Service, consistent with your visibility choices. Content you keep private is used only to provide the Service to you and the people you share it with. The license ends when you delete the Content or your account, except for reasonable backup windows and content we must retain for legal or safety reasons.

You represent that: you have the rights to your Content; any identifiable person in your photos consented to appearing in them; your Content does not break the law or these Terms; and your check-ins reflect real activity.

Community Rules

We have zero tolerance for objectionable content and abusive behavior. You agree not to:

Use the in-app tools to report content, messages, or users, and to block anyone. We may review reported content, including reported direct messages.

Moderation & Enforcement

We may remove or restrict any Content and take action on any account at our discretion to enforce these Terms or protect users. Depending on the severity and history of a violation, enforcement may include a warning, removing or hiding content, temporarily suspending an account, or permanently banning it. Serious or repeated violations — and anything involving the safety of minors — can result in an immediate permanent ban. While an account is suspended or banned, the user may be unable to sign in or use parts of the Service. We are not obligated to monitor Content, but we may, including reviewing reported posts, comments, profiles, and direct messages.

You have safety tools too: blocking is mutual and immediate (blocked users stop seeing your content and you stop seeing theirs, and any follow or friend connection between you is removed), and muting silently hides another user's posts from you without notifying them. If you believe we made an enforcement mistake, you can appeal by emailing help@getcoact.com.

Fair Play & Disputes

Check-ins are self-reported — we do not automatically verify your photos, and completing a check-in relies on you being honest. Opponents can dispute a check-in, and mutual friends may vote on whether it looks legitimate; dispute outcomes are a gameplay mechanic, not a finding of fact. Dispute outcomes, trophies, streaks, and badges are applied at our discretion, and we may adjust or reset them to correct errors or address abuse.

Virtual Items & Sparks

Trophies, streaks, badges, banners, avatar frames, battle pass tiers and similar items are gameplay features. They have no monetary value, cannot be exchanged for cash, are non-transferable, and may be modified, rebalanced, reset (the battle pass resets on a schedule), or removed at any time.

Sparks are an in-app currency you earn by using the App. Sparks are not money, not a stored-value or gift-card balance, and not your property — you hold a limited, revocable license to use them inside the App. Sparks cannot be bought, sold, transferred between users, cashed out, or used outside the App, and they have no value on their own.

Sparks are spent in the in-app shop, and everything in it is digital: streak protection, boosts, profile cosmetics, and the premium battle pass track. They apply to your account immediately. We do not offer cash, gift cards, or physical goods in exchange for sparks, and there is no exchange rate between sparks and money. We may occasionally offer a limited item that has to be issued by hand (for example, a partner discount code); redeeming one debits your sparks and creates a pending request that we review before it is issued, and we may reject it — for example, where we believe sparks were obtained through cheating, duplicate accounts, or other abuse. Eligibility rules, if any, are shown on the item. We may change spark costs, item availability, stock, and eligibility rules at any time.

If you delete your account, your spark balance is set to zero and any request that has not already been fulfilled is cancelled. Sparks do not survive account deletion and cannot be paid out or passed to anyone else.

Nothing in the App can currently be bought with real money. If we introduce purchases, additional terms (including refund rules) will be presented at the point of sale.

Coact's Intellectual Property

The Service — including the App, Site, logos, the "COACT" name and wordmark, artwork, and code — is owned by or licensed to Coact and protected by applicable intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the App on devices you own or control, for personal, non-commercial use. You may not reproduce, distribute, modify, or create derivative works from the Service without our express prior written permission. If you send us feedback or suggestions, we may use them without restriction or compensation. Third-party artwork used in the App is credited in the App under Profile → Settings → Licenses & credits.

Copyright Complaints (DMCA)

If you believe content on the Service infringes your copyright, email help@getcoact.com with: (1) identification of the work; (2) the location of the allegedly infringing material; (3) your contact information; (4) a statement of good-faith belief that the use is unauthorized; (5) a statement, under penalty of perjury, that your notice is accurate and you are authorized to act; and (6) your physical or electronic signature. We may remove the material and will terminate repeat infringers. Counter-notices go to the same address.

App Stores

These Terms are between you and Coact — not Apple or Google. The app store providers have no obligation to provide maintenance, support, or warranties for the App and are not responsible for claims relating to it. Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them against you. You must also comply with the applicable store's terms. You represent that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government restricted-party list.

Waitlist

By submitting your email address and checking the email-updates consent box on the Site, you agree to receive launch-related communications from Coact. You may unsubscribe at any time via the link in any email or by contacting help@getcoact.com. Joining the waitlist does not guarantee access to the App or any specific launch date. We may discontinue the waitlist or change the planned product at any time.

Termination

You can stop using the Service at any time and delete your account directly in the App (Profile → Settings → Account & security → Delete account, confirmed with your password) or by emailing help@getcoact.com. We may suspend or terminate your access at any time as described above. On termination, your license to use the App ends and virtual items are lost. Sections that by their nature should survive (content license remnants, intellectual property, disclaimers, limitation of liability, indemnification, and dispute terms) survive termination.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DISPUTE RESULTS WILL BE ACCURATE, OR THAT USING COACT WILL PRODUCE ANY PARTICULAR HABIT, HEALTH, OR OTHER OUTCOME. CONTENT POSTED BY OTHER USERS IS THEIR OWN; WE DO NOT ENDORSE IT.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL COACT OR ITS OPERATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow these limitations; in such cases, they apply to the maximum extent permitted by law, and nothing in these Terms limits liability that cannot lawfully be limited.

Indemnification

You agree to indemnify and hold harmless Coact and its operator from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your Content, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any third-party right, including any intellectual property or privacy right.

Disputes, Governing Law & Venue

If you have a problem, email help@getcoact.com first — most issues can be resolved informally, and you agree to try in good faith for 60 days before filing a claim.

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of New York, and you consent to the personal jurisdiction of those courts — except that either party may bring an individual claim in small-claims court. TO THE EXTENT PERMITTED BY LAW, YOU AND COACT EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION; claims may be brought only in an individual capacity. If the class-action waiver is found unenforceable as to a claim, that claim (and only that claim) may proceed on a class basis. Nothing in this section limits any non-waivable rights you have under the consumer protection laws of your country of residence.

Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted to this page, and we will update the effective date above. For material changes, we will provide additional notice (such as an in-app notice or an email). Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

General

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Coact regarding the Service. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign them. Our failure to enforce a provision is not a waiver.
